2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that you are at least 18 years of age, are legally capable of entering into binding agreements, and accept these Terms & Conditions in full.
If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
3. Services
Marrowdale provides knowledge management advisory services to organisations in Malaysia and internationally. Our services are described on this website for general information purposes. The specific scope of any engagement is agreed in writing prior to commencement.
We reserve the right to decline an enquiry or engagement at our discretion, without obligation to provide reasons.
4. User Responsibilities
When using this website or engaging with our services, you agree to:
- Provide accurate and complete information in all communications
- Not use the website for any purpose that is unlawful or harmful to others
- Not attempt to disrupt, damage, or gain unauthorised access to any part of the website or its associated systems
- Not reproduce, distribute, or commercially exploit content from this website without our prior written permission
- Cooperate reasonably during any service engagement by providing access to relevant information and personnel as agreed
5. Intellectual Property
All content on this website — including text, structure, visual design, and materials — is owned by or licensed to Marrowdale. You may not reproduce, copy, or adapt any part of it without our express written consent.
Deliverables from engagements
Deliverables produced during an advisory engagement are provided to the Client under a limited licence for internal business use. Marrowdale retains ownership of any frameworks, methodologies, or tools used or incorporated in those deliverables. You may not resell or sublicense deliverables to third parties without our agreement.
Client materials
Any materials, data, or content provided by you during an engagement remain your property. You grant Marrowdale a limited licence to use such materials solely for the purpose of delivering the agreed service.
6. Payment Terms
Fees for our services are stated in Malaysian Ringgit (RM) and are confirmed in the scope of work document before an engagement begins. The following payment terms apply:
- An invoice will be issued at the commencement of each engagement or as agreed in the scope of work
- Payment is due within 14 calendar days of the invoice date unless otherwise agreed in writing
- Accepted payment methods will be confirmed at the time of invoicing
- Late payment may result in a pause to service delivery
Rescheduling and cancellation
If you need to reschedule a session, please give at least 2 business days' notice. Sessions cancelled with less than 24 hours' notice may be charged in full. If an engagement is discontinued after commencement, fees for work already completed remain payable.
7. Service Delivery
Marrowdale will make reasonable efforts to deliver sessions and deliverables in accordance with the agreed scope and timeline. The quality and completeness of outcomes also depends on the level of engagement and cooperation from the Client.
Sessions are conducted remotely (video call) or in person in Kuala Lumpur unless otherwise agreed. We reserve the right to reschedule sessions with reasonable notice should unforeseen circumstances arise.
8. Confidentiality
Both parties agree to keep confidential any information shared during an engagement that is reasonably understood to be sensitive or proprietary. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
Marrowdale will not disclose specific details of a client's internal practices or challenges to third parties without permission.
9. Disclaimers
Our services provide advisory support and structured guidance. We do not guarantee particular outcomes or performance improvements. Results depend on many factors outside our control, including how recommendations are implemented within your organisation.
The website and its content are provided for information purposes only and do not constitute professional, legal, financial, or technical advice. We make reasonable efforts to keep information on this website accurate and current, but we do not warrant that all content is complete, error-free, or up to date.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Marrowdale's total liability to you in connection with any service engagement shall not exceed the total fees paid by you for that engagement.
We shall not be liable for any indirect, consequential, or loss-of-profit damages arising from your use of this website or from our services, even if we have been advised of the possibility of such loss.
Nothing in these terms excludes liability for fraud, death, or personal injury caused by our negligence.
11. Indemnification
You agree to indemnify and hold harmless Marrowdale, its principals, and associates from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms & Conditions or your misuse of our website or services.
12. Termination
Either party may end an engagement with reasonable written notice. Marrowdale may suspend or terminate an engagement immediately if there is a material breach of these terms, non-payment, or conduct that makes continuation impractical.
On termination, fees for work already performed remain payable. Provisions relating to intellectual property, confidentiality, and liability survive termination.
13. Governing Law & Disputes
These Terms & Conditions are governed by the laws of Malaysia. Any dispute arising from these terms or from a service engagement shall first be addressed through good-faith discussion between the parties. If a resolution cannot be reached informally within 30 days, the parties agree to submit the dispute to mediation in Kuala Lumpur before initiating formal proceedings.
The courts of Malaysia shall have exclusive jurisdiction over any dispute that proceeds to litigation.
14. General Provisions
- Entire agreement. These terms, together with any agreed scope of work, constitute the full agreement between the parties regarding the subject matter.
- Severability. If any provision is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment. You may not assign your rights or obligations under these terms without our prior written consent.
- Notices. All formal notices under these terms should be sent by email to [email protected] or by post to our registered address.
15. Changes to Terms
We may update these Terms & Conditions periodically. When we do, the revised version will be posted on this page with an updated effective date. For material changes, we will make reasonable efforts to notify active clients. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
